Off the top of my head:

  1. Incompatibility with current investors
  2. Unable to move to SF (long list of reasons)
  3. Incompatibility with YC philosophy
Regarding #3, YC has a certain way of viewing the world and doing things and I think it's definitely valid to just disagree with them enough that you wouldn't want to sell them 6% of your company.
